These Terms of Use (the “Terms”) are a binding contract between you and insytful, inc d/b/a Match Bear™ (“Match Bear,” “we” and “us”). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services.
These Terms include the provisions in this document as well as those in the Privacy Policy and the Copyright Dispute Policy. Your use of or participation in certain Services may also be subject to additional policies, rules and/or conditions (“Additional Terms”), which are incorporated herein by reference, and you understand and agree that by using or participating in any such Services, you agree to also comply with these Additional Terms.
Please read these Terms carefully. They cover important information about Services provided to you and any charges, taxes, and fees we bill you. These Terms include information about future changes to these Terms, automatic renewals, limitations of liability, a class action waiver and resolution of disputes by arbitration instead of in court.
PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.
ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Match Bear is a career intelligence platform that helps users build, own, and control their professional profiles using AI-powered guidance, O*NET occupational taxonomy, and personalized career transition support. Our Services include:
- Conversational career guidance and job matching
- Resume analysis and skills extraction using O*NET taxonomy
- Career intelligence development that you own and control
- Job search aggregation from multiple platforms (LinkedIn, Indeed, Google Jobs)
- Support for unconventional career backgrounds and transitions
- Community-focused approach to career development
Important: Match Bear operates as a privacy-first platform where you maintain control over your career intelligence. We do not sell your data to third parties.
Second Look Program — Employer Use Requirements
🐻 Match Bear explains: Second Look is a candidate-side tool. It is designed to give rejected applicants an independent, fair assessment — not to create a new screening layer for employers. This section exists to keep it that way.
Match Bear's Second Look program ("Second Look") allows employers ("Participating Employers") to provide rejected applicants with access to Match Bear's independent, candidate-side assessment platform. The following requirements apply to all Participating Employers and govern the permissible use of Second Look results in employment decisions.
Supplemental Use Requirement
Required Employer Obligation
Match Bear results must be treated as supplemental context, not a replacement for reviewing the full applicant pool. Participating Employers must not use the presence or absence of a Match Bear score as a gating criterion at any stage of the hiring process.
Specifically, Participating Employers agree that:
- A candidate's decision not to complete a Second Look assessment, or not to publish their Match Card, shall not be used as a basis to exclude that candidate from further consideration.
- Candidates who do not participate in Second Look must be evaluated through the same standard review process applied to all other applicants in the pool.
- The existence of a Match Bear Match Card or assessment score is supplemental information only. It may inform, but may not replace or override, the employer's independent review of a candidate's qualifications.
- Second Look participation rates, Match Card publication rates, or Match Bear scores must not be used to generate, rank, or sort candidate shortlists as a primary criterion.
Independence of Assessment
Match Bear's assessment methodology is independent of employer configuration. Participating Employers may not instruct, configure, or influence Match Bear's scoring criteria, domain weights, or assessment outputs. Match Bear acts as an independent evaluator on behalf of the candidate, not as an agent of the employer.
Record Retention
Participating Employers are advised to retain documentation demonstrating compliance with the Supplemental Use Requirement, including records showing that non-publishing candidates were reviewed through standard applicant review processes. Match Bear's Independent Reassessment Report provides a timestamped audit trail that Participating Employers may reference in connection with EEO compliance documentation.
Compliance Notice: Failure to comply with the Supplemental Use Requirement may undermine the Less Discriminatory Alternative defense that Second Look is designed to support, and may expose the Participating Employer to independent liability. Match Bear disclaims any liability arising from a Participating Employer's failure to comply with these requirements.
Eligibility
Match Bear is intended for users over the age of 13. If you are under the age of 18, you must have your parent's or legal guardian's permission to use the Services. Please have them read this Agreement with you. If we have actual knowledge that you are under the age of 13, we will cease providing Services to you and delete your account and your data.
User Registration & Account Rights
🐻 Match Bear explains: Your account is your gateway to building career intelligence. Keep it secure, and remember - the career insights you create belong to you, not us.
To use certain features of Match Bear, you must register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate.
Your Career Intelligence Rights
You maintain ownership and control over the career intelligence you develop through Match Bear, including:
- Your career conversations and insights
- Skills mapping and O*NET proficiency data
- Job preferences and search criteria
- Resume analysis results and career narratives
- Professional development recommendations
You have the right to export, modify, or delete this career intelligence at any time through your account settings or by contacting support.
Third-party Services
🐻 Match Bear explains: We work with trusted partners to provide the best service, but we make sure they respect your privacy just like we do. Your data stays protected even when we use these services.
Match Bear integrates with the following third-party services to provide our career intelligence platform:
- Stripe, Inc.: Secure payment processing for subscriptions (they handle payment data according to their privacy policy)
- Open Source AI Models: Conversational intelligence services (with data protection agreements ensuring your conversations aren't used to train models for other companies)
- Job Platforms: LinkedIn, Indeed, and Google Jobs for job search aggregation (we search publicly available job postings)
- Cloud Infrastructure: Secure hosting and data storage services
- O*NET Database: Occupational taxonomy and skills classification (public database maintained by the U.S. Department of Labor)
By using Match Bear, you agree to comply with applicable third-party terms and privacy policies. We maintain data protection agreements with our partners to ensure your information is handled according to our privacy standards.
Liability Limitation
To the maximum extent permitted by law, we and our managing members, shareholders, employees, affiliates, licensors, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or multiple damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services.
Compliance with Laws
You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
Arbitration
Any disputes arising out of or relating to these Terms or the use of Match Bear will be resolved through mandatory binding arbitration.
Community Governance Framework
🐻 Match Bear explains: We're building toward a future where you have a voice in how the platform operates. This is our roadmap for community ownership - though it depends on legal and regulatory requirements.
Match Bear is committed to transitioning toward community governance where users have input on platform decisions. This framework is subject to regulatory approval and technical feasibility:

- User feedback collection on platform features and policies
- Community input on major service changes
- Preparation of governance mechanisms
Planned Community Participation (Subject to Regulatory Approval)
- User voting on significant Terms of Service changes

Changes to Terms

We reserve the right to modify these Terms at any time. Changes and clarifications will take effect immediately upon their posting on the Service. If we make material changes to this policy, we will notify you through the Service and via email.
As we develop community governance mechanisms, significant changes to these Terms may be subject to user input and voting processes, subject to legal and regulatory requirements.
Governing Law
The laws of the State of California, United States, excluding its conflicts of law rules, shall govern these Terms and your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Disputes Resolution
If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting us.
For European Union (EU) Users
If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
Translation Interpretation
These Terms and Conditions may have been translated if we have made them available to you on our Service. You agree that the original English text shall prevail in the case of a dispute.
